1. Introduction

These Terms and Conditions ("Terms") govern your use of Vertibase's web design and development services. By engaging our services, you agree to be bound by these Terms.

Vertibase is a web design business operating in the United Kingdom, specializing in professional websites for small businesses.

2. Services

We provide web design, development, and related services including but not limited to:

  • Website design and development
  • Logo design and branding
  • Search engine optimization (SEO)
  • Website hosting services
  • Website maintenance and updates
  • Domain registration assistance

Specific services will be outlined in your project proposal or service agreement.

3. Payment Terms

Payment is required in full before work commences unless otherwise agreed in writing. We accept bank transfers (BACS) as our primary payment method.

For ongoing services such as hosting or maintenance, payment is due monthly or annually as specified in your service agreement.

Late payments may result in suspension of services and may incur additional charges.

4. Client Responsibilities

You agree to:

  • Provide accurate and complete information for your project
  • Supply necessary content, images, and materials in a timely manner
  • Respond to requests for feedback and approval within reasonable timeframes
  • Ensure you have the right to use any materials you provide
  • Make payment according to the agreed terms

Delays in providing required materials may affect project timelines.

5. Intellectual Property

Upon full payment, you will own the rights to the final website design and any custom graphics created specifically for your project.

We retain the right to display your website in our portfolio and marketing materials unless specifically requested otherwise.

Third-party components, plugins, or stock images may have their own licensing terms.

6. Revisions and Changes

Each project includes a reasonable number of revisions as specified in your project proposal. Additional revisions beyond the agreed scope may incur extra charges.

Major changes to project scope after work has commenced will require a new agreement and additional payment.

7. Website Hosting

If we provide hosting services, we will make reasonable efforts to ensure your website remains accessible. However, we cannot guarantee 100% uptime due to factors beyond our control.

Regular backups are performed, but you are responsible for maintaining your own backups of important data.

8. Limitation of Liability

Our liability is limited to the amount paid for our services. We are not liable for indirect, consequential, or incidental damages.

We make no warranties regarding the performance of your website or its impact on your business.

9. Termination

Either party may terminate services with reasonable notice. Upon termination, payment is due for all work completed to date.

We reserve the right to terminate services immediately for non-payment or breach of these Terms.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the jurisdiction of the English courts.
